Terms of Service

Flowframe, Inc. (“Velo,” “we,” “our,” or “us”) provides online services for creating AI videos, and these Terms govern your access to and use of those Services.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. If you use the Services on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. Accounts
To use certain features, you may need to create an account. You agree to provide accurate information and keep your credentials secure. You are responsible for all activity that occurs under your account.
You may sign up using email and password or Google login.
3. The Services
Velo is an AI tool that helps people create AI videos. The Services may include recording, uploading, importing, generating, editing, avatar creation, synthetic voice, public sharing, comments, reactions, forms, third-party integrations, and subscription billing.
We may add, modify, suspend, or discontinue any part of the Services at any time, with or without notice.
4. Your Content
“Your Content” means any data, prompts, scripts, edits, text, files, images, screenshots, voice samples, audio, videos, comments, reactions, forms, branding, links, recordings, imports, or other materials that you upload, submit, record, generate, publish, or otherwise make available through the Services.
You retain ownership of Your Content, subject to the rights you grant us in these Terms.
You grant Velo a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, modify, transmit, display, distribute, and otherwise use Your Content as necessary to provide the Services, generate requested outputs, operate and improve product functionality, secure and support the Services, enforce our policies and legal rights, and comply with law.
5. Your Responsibilities
- You are solely responsible for Your Content and your use of the Services.
- You represent and warrant that you own or have all rights, licenses, permissions, and consents needed for Your Content and your use of it.
- You are responsible for determining whether you are authorized to upload confidential, proprietary, internal, sensitive, or regulated material.
- You are responsible for complying with all laws and regulations applicable to your use of the Services and any content you create or publish.
6. Avatar, Voice, and Synthetic Media
Velo may allow the creation of avatars, synthetic voices, or other AI-generated media. If you use these features, you are solely responsible for ensuring that you have all rights and permissions required for any face, likeness, voice, image, recording, or other material you use.
If you use another person’s face, likeness, or voice without permission or in violation of law, that is your responsibility, not ours.
You are responsible for making any disclosures or obtaining any consents required by law for synthetic or AI-generated content.
7. Acceptable Use
You may not use the Services for any illegal, fraudulent, harmful, deceptive, malicious, or abusive purpose.
You may not create, publish, or distribute non-consensual deepfakes, unlawful impersonations, malware, spam, scams, harassment, IP-infringing content, unlawful surveillance content, or other unlawful material.
You may not interfere with the Services, bypass security measures, or use the Services in a way that could harm Velo, other users, or third parties.
8. AI Output Disclaimer
The Services may use AI and automated systems. Outputs may be inaccurate, incomplete, offensive, unexpected, or unsuitable for your intended purpose. You are solely responsible for reviewing and approving outputs before relying on, publishing, distributing, or using them.
9. Public Sharing
If you generate a public or shareable link, you are responsible for the consequences of making content accessible through that link. Anyone with access to the link may be able to view, forward, repost, or otherwise access the content.
10. Payments, Subscriptions, and Credits
Paid plans are subscription-based and may be offered on a monthly or annual basis. Subscriptions renew automatically unless canceled.
All fees are due as charged. Except where required by law or where Velo determines a system glitch affected your purchased usage, fees are non-refundable. In cases involving qualifying system glitches, Velo may choose to provide top-up credits instead of a refund.
Velo may offer a free trial or free usage allocation, including usage minutes. We reserve the right to change, reduce, suspend, or discontinue free trial terms, free usage limits, or included minutes at any time.
We may change pricing, packaging, features, credits, usage limits, or plan structure at any time.
11. Third-Party Services
The Services may include or rely on third-party providers, integrations, or model providers. We are not responsible for third-party products, services, policies, downtime, data practices, or performance.
12. Suspension and Termination
We may suspend, restrict, disable, or terminate access to the Services at any time, with or without notice, including for abuse, suspected fraud, legal risk, security concerns, non-payment, policy violations, or protection of Velo or others.
You may stop using the Services at any time. Upon termination, your right to use the Services ends immediately.
13. Intellectual Property
The Services, including our software, interfaces, branding, designs, documentation, and related intellectual property, are owned by Velo or its licensors and are protected by law. Except for the limited rights expressly granted to you, all rights are reserved.
14. Feedback
If you provide ideas, suggestions, or feedback, you grant us the right to use them without restriction or compensation.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VELO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO VELO FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
17. Indemnification
You agree to defend, indemnify, and hold harmless Velo, its affiliates, officers, directors, employees, agents, and service providers from and against claims, liabilities, damages, losses, costs, and expenses arising out of or related to Your Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules. Any dispute arising out of or relating to the Services or these Terms must be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts.
19. No Class Actions
To the maximum extent permitted by law, you agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action.
20. Changes to These Terms
We may update these Terms from time to time. If we do, we will post the updated version and revise the Last updated date. Your continued use of the Services after the revised Terms become effective means you accept them.
